Terms and Conditions (AGB)

1. Scope

These Terms and Conditions (“AGB”) apply to all business relationships, services, and contractual agreements between Simple Code Technologies (“we”, “us”) and its clients (“client”, “you”), unless otherwise agreed in writing.

These AGB apply exclusively to business customers (B2B).


2. Services

We provide software development, workflow automation, system integration, mobile and web application development, and related consulting services.

The scope, timeline, deliverables, and pricing of services are defined individually in project proposals, statements of work, or written agreements.


3. Contract Formation

A contract is concluded when:

  • A written offer is accepted by the client, or
  • A project proposal or statement of work is confirmed, or
  • Services are commenced upon mutual agreement.

4. Client Obligations

The client agrees to:

  • Provide all necessary information, content, access, and cooperation required for the execution of services
  • Ensure the accuracy and legality of provided materials
  • Meet agreed timelines and feedback obligations

Delays caused by missing or delayed client input may result in adjusted timelines.


5. Pricing and Payment

Fees, payment terms, milestones, and invoicing schedules are defined in the individual project agreement.

Unless otherwise agreed:

  • Invoices are payable within the stated payment period
  • All prices are exclusive of applicable taxes

6. Intellectual Property

Unless explicitly agreed otherwise:

  • All intellectual property rights remain with Simple Code Technologies until full payment has been received
  • Upon full payment, usage rights are transferred as defined in the project agreement

Third-party software, libraries, or tools remain subject to their respective licenses.


7. Confidentiality

Both parties agree to treat all confidential information obtained during the business relationship as strictly confidential and not to disclose such information to third parties without prior consent.

This obligation remains in effect after termination of the contractual relationship.


8. Liability

We are liable only for damages caused by intent or gross negligence, in accordance with applicable law.

Liability for indirect damages, loss of profit, or consequential damages is excluded to the extent permitted by law.


9. Warranty

We warrant that services will be performed with professional care and in accordance with generally accepted industry standards.

Defects must be reported without undue delay.


10. Termination

Contracts may be terminated in accordance with the agreed project terms or by written notice for good cause.

Termination does not affect payment obligations for services already rendered.


11. Data Protection

Personal data is processed in accordance with applicable data protection laws and our Privacy Policy.


12. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of India, excluding conflict-of-law provisions.

The place of jurisdiction shall be the registered place of business of Simple Code Technologies, unless mandatory statutory provisions provide otherwise.


13. Severability Clause

If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain valid.


14. Final Provisions

Amendments or additions to these Terms and Conditions must be made in writing.
